Terms of Use

Please read carefully. These Terms contain a binding arbitration agreement, a class-action waiver, disclaimers of warranties, and limitations of liability that affect your legal rights. By accessing or using Equip Place you agree to all of them. If you do not agree, do not use the site.

1. Acceptance of these Terms

These Terms of Use ("Terms") are a legally binding agreement between you and Equip Place ("Equip Place," "we," "us," or "our") governing your access to and use of our website, applications, tools, content, and services (collectively, the "Platform"). By creating an account, listing equipment, contacting a seller, submitting an offer, or otherwise using the Platform, you represent that you are at least 18 years old, have authority to bind any business you act for, and accept these Terms.

We may modify these Terms at any time. Changes are effective when posted with an updated date. Continued use after changes means you accept the revised Terms.

2. Equip Place is a venue only

Equip Place is an online marketplace and advertising venue. We are not a dealer, broker, auctioneer, agent, inspector, appraiser, escrow agent, lender, transporter, or party to any transaction between users. We do not own, possess, inspect, store, title, register, insure, warrant, repair, or deliver any equipment listed on the Platform.

All sales, negotiations, payments, inspections, transport, financing, titling, registration, and disputes are strictly between the buyer and the seller. You are solely responsible for evaluating any equipment, person, or business you deal with, and for confirming any information before acting on it.

3. Accounts and eligibility

You are responsible for the accuracy of your registration information and for all activity under your account, including keeping your credentials secure. We may refuse, suspend, limit, or terminate any account or listing at any time, for any reason or no reason, with or without notice, including for suspected fraud, misrepresentation, or violation of these Terms.

"Verified," "verified dealer," ratings, badges, reviews, and similar signals reflect limited, automated, or self-reported information. They are not endorsements, guarantees, background checks, creditworthiness assessments, or certifications of any user, business, or machine.

4. Listings and user content

Sellers are solely responsible for their listings and for ensuring that all descriptions, hours, mileage, year, serial numbers, condition, photos, videos, pricing, wholesale pricing, availability, emissions/DEF status, safety equipment, liens, and title status are accurate, lawful, and not misleading. You must have the legal right to sell any item you list and to post any content you upload.

You must not post content that is unlawful, infringing, stolen, fraudulent, defamatory, discriminatory, malware-bearing, or that violates any export control, sanctions, safety, emissions, or consumer protection law. You must not scrape, spam, reverse engineer, resell access to, or interfere with the Platform.

By posting content you grant Equip Place a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, adapt, display, distribute, and promote that content in connection with operating and marketing the Platform. You waive any moral rights to the extent permitted by law. We may remove or refuse any content at our sole discretion but have no obligation to monitor content.

5. AI features, scores, and estimates

The Platform provides automated and AI-generated features, including AI Match, AI Compare, price scores, confidence scores, market estimates, shipping quotes, financing calculators, recommendations, spec data, buying guides, community answers, and the AI equipment expert. These outputs are generated by software and third-party models from incomplete data, may be inaccurate, outdated, or wrong, and are provided for general informational purposes only.

They are not appraisals, inspections, valuations, safety certifications, engineering opinions, tax, legal, insurance, or financial advice, and must not be relied upon to make purchase, sale, financing, or operating decisions. Always obtain an independent inspection and professional advice before buying, selling, financing, or operating equipment.

6. Third parties, financing, shipping, and payments

Financing applications, shipping and transport quotes, payment processing, mapping, email delivery, and similar services may be provided by independent third parties under their own terms. We do not control and are not responsible for their acts, omissions, rates, approvals, delays, damage in transit, data handling, or performance. Any quote or estimate is non-binding until confirmed directly by the applicable provider.

Dealer subscriptions, advertising placements, and other paid features are billed through our payment processor. Unless required by law or expressly stated in writing, fees are non-refundable, including for partial periods, and we may change pricing prospectively. You are responsible for all applicable taxes. You may cancel a subscription at any time; cancellation stops future billing and takes effect at the end of the paid term.

7. Transactions, safety, and fraud

Fraud exists in equipment sales. Never wire funds, send deposits, or release payment based solely on photos, videos, documents, or messages. Verify the seller, the machine, the title, and any lien in person or through an independent inspector, and use secure payment methods. Equip Place does not guarantee that any user is who they claim to be and is not responsible for any loss resulting from a transaction, whether initiated on or off the Platform.

8. Intellectual property

The Platform, including its software, design, text, graphics, logos, and compilations of data, is owned by Equip Place or its licensors and protected by intellectual property laws. Except for the limited, revocable, non-transferable license to use the Platform for its intended purpose, no rights are granted. Manufacturer names, models, and marks are used for identification only and do not imply affiliation or endorsement.

If you believe content on the Platform infringes your copyright, send a notice with the information required by the DMCA through our contact page. We may remove content and terminate repeat infringers.

9. Disclaimer of warranties

The platform and all content, listings, data, scores, estimates, and services are provided "as is" and "as available," with all faults and without warranty of any kind. To the maximum extent permitted by law, Equip Place disclaims all warranties, express, implied, statutory or otherwise, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, and any warranties arising from course of dealing or usage of trade.

We do not warrant that the Platform will be uninterrupted, secure, error-free, or free of harmful components, that any listing, specification, price, score, or user statement is accurate or complete, or that any transaction will be completed satisfactorily.

10. Limitation of liability

To the maximum extent permitted by law, Equip Place and its owners, officers, employees, contractors, affiliates, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost revenue, lost data, lost business, diminution in value, downtime, personal injury, property damage, or cost of substitute equipment, arising out of or relating to the platform, any listing, any AI output, or any transaction, whether based in contract, tort, strict liability, statute, or otherwise, even if advised of the possibility of such damages.

Our total aggregate liability for all claims relating to the platform will not exceed the greater of (a) the total fees you paid to Equip Place in the twelve months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you; in that case liability is limited to the smallest extent permitted by law.

11. Release

Because Equip Place is only a venue, you release Equip Place and its owners, officers, employees, and affiliates from all claims, demands, damages, and losses of every kind, known and unknown, arising out of or connected with any dispute between you and another user, any equipment, any transaction, or any third-party service. If you are a California resident, you waive California Civil Code § 1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

12. Indemnification

You will defend, indemnify, and hold harmless Equip Place and its owners, officers, employees, contractors, and affiliates from and against any claims, actions, demands, liabilities, damages, losses, penalties, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Platform, your content or listings, any equipment you buy or sell, your violation of these Terms or any law, or your infringement of any third-party right.

13. Binding arbitration and class-action waiver

Any dispute, claim, or controversy arising out of or relating to the Platform or these Terms will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, conducted in English. Judgment on the award may be entered in any court of competent jurisdiction.

You and Equip Place waive any right to a jury trial and to participate in a class, collective, consolidated, or representative action. The arbitrator may not consolidate claims or preside over any class proceeding.

Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court to protect intellectual property or to stop unauthorized access. Any claim must be brought within one (1) year after it arises or it is permanently barred, to the extent permitted by law.

14. Governing law and venue

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-laws rules. Subject to the arbitration section above, the exclusive venue for any permitted court action is the state and federal courts located in Illinois, and you consent to personal jurisdiction there.

15. General

These Terms, together with any posted policies, are the entire agreement between you and Equip Place. If any provision is unenforceable, it will be limited or severed and the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them freely. Sections that by their nature should survive termination will survive, including sections 2, 4, and 8 through 15.
